Terms of service
These terms govern your use of AgentLedger's website at aiagentledger.dev (the "Site"), the agentledger command-line tool (the "CLI"), our documentation, and our support (together, the "Services"). By using them, you agree to these terms on behalf of yourself and any organization you represent.
1. The AgentLedger app
The AgentLedger Snowflake Native App (the "App") is offered through Snowflake Marketplace. Your use of the App, including any trial, fees and renewals, is governed by the terms presented with the Marketplace listing when you install or buy it, together with your agreement with Snowflake. If those listing terms conflict with these terms, the listing terms win for the App.
2. The CLI
We grant you a non-exclusive, non-transferable, royalty-free license to install and run the CLI on your organization's machines, solely to report sessions to your organization's installation of the App. You may not sell, sublicense or redistribute the CLI, or use it to build a competing product. If the CLI is later released under an open source license, that license governs instead.
3. Your data
You own your data. The App and the CLI process it within your Snowflake account and on your machines, and do not send it to us. You are responsible for having the right to process your developers' session data, including any notice or consent your law or employment policies require. Our privacy policy explains what limited data we receive.
4. Acceptable use
You agree not to misuse the Services. In particular, you won't attempt to disrupt or gain unauthorized access to them, reverse engineer them except where the law allows it, use them to break the law or anyone's rights, or remove our proprietary notices.
5. Feedback
If you send us suggestions or feedback, we may use them without restriction or obligation to you.
6. Intellectual property
We own the Services, the App and the AgentLedger name and marks. These terms don't grant you any right to them beyond what they say. Snowflake and other third-party names belong to their owners, and their mention doesn't imply endorsement.
7. Support
We provide support by email as described on the Support page. Response times are targets, not guarantees, unless your listing terms say otherwise.
8. Disclaimer
The Services are provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Cost figures are estimates based on token counts and published prices where billed amounts aren't available, and may differ from your Snowflake or third-party invoices. Don't rely on them as your bill.
9. Limitation of liability
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from the Services. Our total liability for any claim arising from the Services is limited to the greater of the amount you paid us for AgentLedger in the 12 months before the claim and US $100.
10. Termination
You can stop using the Services at any time. We may suspend or end your access to them if you breach these terms. Sections 3, 5, 6, 8, 9 and 11 survive termination.
11. General
We may update these terms by posting a new version here with a new effective date. If a change is material, we will give customers notice by email. Continuing to use the Services after a change means you accept it. If any part of these terms is unenforceable, the rest stays in effect. These terms are the entire agreement between us about the Services, alongside any listing terms for the App.
